Terms of Service
Standard template supplied with the application. The company operating this CelioShip instance (“the Provider”) should review it with legal counsel and complete the fields in brackets.
1. Agreement
These Terms of Service govern the use of CelioShip, the shipment management and visibility platform (“the Service”), by the company that opens a workspace (“the Customer”) and by every person the Customer gives an account to (“Users”). By creating a workspace, accepting an invitation or signing in, you accept these Terms on behalf of the Customer.
2. The Service
The Service lets the Customer record import shipment files, containers, business parties, documents, deadlines, costs and invoices, follow them until closure, receive alerts and produce reports. The Provider may improve or change features over time; a change that removes an essential capability is announced at least 30 days in advance.
3. Accounts and security
- Each User has a personal account. Credentials must not be shared; the Customer is responsible for what is done with its accounts.
- Administrators manage their company’s accounts, permissions and security policy, including whether two-factor sign-in is required.
- The Customer must tell the Provider without delay of any suspected unauthorised access.
- Sign-in attempts are limited and logged; devices may be locked after repeated failures.
4. Plans, trial and payment
- A new workspace starts with a free trial of the length shown at sign-up. No payment details are needed for the trial.
- Paid plans are billed per company, monthly in advance, at the price shown on the pricing page when the plan is chosen. Prices may change with 30 days’ notice; the change applies from the next renewal.
- Payment is made by card through the Provider’s payment processor or, for Enterprise customers, by invoice under the agreed terms.
- If a payment fails, the workspace keeps full access for a grace period of 14 days, then becomes read-only until the payment is settled. Data is never deleted because of a failed payment.
- The Customer may cancel at any time; the workspace stays fully usable until the end of the paid period, then becomes read-only.
- Plan limits (user accounts, open files, document storage) apply as described on the pricing page. Reaching a limit prevents new items of that kind until the plan is upgraded.
5. Your data
- The Customer owns all data it enters or uploads. The Provider processes it only to provide, secure and support the Service, as described in the Privacy Policy.
- Administrators can export the company’s complete data at any time from the billing screen.
- Data of different customers is kept separate; the Provider does not access customer data except for support at the Customer’s request, for security, or as required by law.
- Backups are taken regularly. Within 30 days after a workspace is terminated, its data is deleted from live systems and then from backups in the normal rotation, unless the law requires longer retention.
6. Acceptable use
The Customer and its Users must not use the Service unlawfully, upload content that infringes others’ rights or contains malware, attempt to access other customers’ data, interfere with the Service’s operation, or resell the Service without the Provider’s written agreement.
7. Availability and support
The Provider aims for continuous availability but does not guarantee uninterrupted operation. Planned maintenance is announced in advance where possible. Support is provided to administrators by e-mail during business hours; Enterprise customers may agree specific service levels in writing.
8. Liability
To the extent permitted by law, the Provider’s total liability arising from the Service in any twelve-month period is limited to the fees the Customer paid for that period, and the Provider is not liable for indirect losses such as lost profit, demurrage charges, penalties or loss of business. Nothing limits liability that cannot be limited by law.
9. Termination
Either party may end the agreement at the end of the current paid period. The Provider may suspend or end access immediately for serious or repeated breach of these Terms, or where required by law, after notifying the Customer where the law allows.
10. Changes to these Terms
The Provider may update these Terms. Material changes are notified to administrators at least 30 days before they take effect; continued use after that date is acceptance of the new Terms.
11. Governing law
These Terms are governed by the laws of [country / jurisdiction of the Provider], and disputes are brought before the courts of [city], without prejudice to mandatory consumer or commercial rules that apply to the Customer.
